Ethical management

“Integrity” is the issue valued most by the Company and it is our commitment to governing the Company with the highest standards. Internally, the Company continues to deepen its business ethics through integrated educational training and advocacy. Externally, the Company works hand in hand with its clients to develop joint industrial perspectives with ethical management, and turns out to be a stakeholder’s trustworthy partner.
(1) The Company has formulated the “Rules Governing Whistleblowing on Violation of Ethical Conduct”, and posts it on its website. Additionally, the complaint reporting channel, handling procedure, complaint methods, etc., are also specifically stipulated in the Company’s employee service manual. The personnel accepting complaint cases include management executives, audit executives and personnel affairs executives, whereas appropriate dedicated personnel are designated according to the complaint content and actual situation to handle the cases. The colleagues who take the initiative to file the complaint to result in improvement of the Company’s business constitution and reduction of unnecessary loss will be properly rewarded. If the complaint is proved true, 0.1% of the reduction amount of the loss (but no more than $100,000) will be awarded to the person filing the complaint.

(2) Whistleblowing cases shall be reviewed by the audit office or in conjunction with relevant units. In case of any possibility of unethical conduct, an investigation will be promptly unfolded, in which relevant data required by the case will be retrieved and reviewed, and involved personnel will be inquired. The results of the investigation will be submitted to the president. If, after investigation, the whistleblowing case accepted by the Company’s audit office is found to likely have material violation, result in the Company’s grave loss or involve directors or high-rank executives, the audit office shall immediately prepare a report and process the case in accordance with Article 23 of the Company’s “Ethical Corporate Management Best Practice Principles” and Articles 21 and 22 of the “Procedures for Ethical Management and Guidelines for Conduct”. If, after investigation, the complaint (whistleblowing) case accepted by the Company is proved true, the Company will request the opposite party to immediately stop the relevant conduct and take appropriate action according to the severity of the violation. In case of the grave violation, in addition to the action taken pursuant to the Company’s rules, the Company will also claim its civil, criminal or administrative rights through legal procedures, or file a complaint or report with the judicial or investigation unit, so as to protect the Company’s reputation and interests.

(3) To protect concerned parties’ rights and interests, please list concrete content covering relevant people, events, times, places, things, etc., in detail when filing a complaint, and leave your real name and contact number or method, so the Company may contact you for further investigation and processing. The Company will keep the information strictly confidential and the person filing the complaint will not suffer any discrimination as a result of the whistleblowing case. To protect the person filing the complaint from being bothered, the complaint documents without a signature will be handled as complaint facts. In the event that the complaint is filed by an outsider, the Company will take the same confidentiality and protection measures as those adopted for its personnel."
